Job DescriptionEurofins' corporate development team leads the execution of the company's strategic business and financial goals through merger and acquisition activity across all business lines. Our inorganic growth is a key component of Eurofins' overall strategy. The company has historically completed several dozen transactions annually on a global basis.
The ideal candidate will have 1-3 years of experience in corporate development, transaction advisory, investment banking or private equity.
Join a dynamic team in a fast-moving environment to cover the DACH Region.Coordination of M&A Pipeline:- Market analysis and prospection: identify and liaise with potential future Eurofins partners.
- Confidentiality and preliminary data analysis: prepare and manage confidentiality agreements and gather and analyze preliminary data such as audited accounts, shareholding, and leadership details.
- Target evaluation and deal structure recommendation: evaluate targets based on their business and financial condition and outlook, and recommend deal structure.
- Transaction advisory and negotiation support: advise on the transaction process and tactics, interface with potential targets, shareholders, or advisors, and assist business leaders in preparing negotiation documents such as term sheets, heads of agreements, indicative offer letters, or exclusivity agreements.
- Due diligence coordination: coordinate due diligence activities and the involvement of other external advisors (e.g., legal counsel, auditors).
- Negotiation assistance and documentation review: assist in negotiations, attend meetings, and provide comments on sale and purchase documentation until signing/closing.
- Deal closing coordination: coordinate the closing of deals, including financial settlements.
- Peer reviews and support: perform peer reviews and support similar activities in other business lines or countries.
Integration of acquired companies:- Reporting and communication setup: assist in setting up reporting and communication between new Eurofins partners and Eurofins' general management.
- Legal and financial optimization: support potential legal reorganizations, fiscal, and financial optimizations of acquired companies.
- Post-closing obligations management: follow-up on any post-closing obligations resulting from acquisitions (e.g., earn-outs).
- Shareholder resolutions and performance monitoring: prepare shareholder resolutions and follow-up on annual accounts and post-closing performance.
QualificationsWe are looking for a high-potential candidate with a Master's Degree (MBA is a plus) in Business Administration, Finance, or Engineering from a top university, with ambitions to be part of the next generation of finance leaders.
You should have at least 1 - 3 years' experience in M&A, Corporate Development (industry or boutique), Investment Banking, Private Equity, 'Big Four' Auditing, and/or Consulting. Previous exposure to and a solid understanding of the M&A process (NDA, LOI, DD, SPA, PMI, etc.) is also ideal.
The role requires excellent interpersonal, communication, and team leadership skills, and an outstanding technical/conceptual understanding of finance and valuations.
Fluency in German (native speaker) and English
is a must.
