Role summary:
Join our team as a Senior Corporate Officer within Apex Corporate Solutions, reporting to the Head of Operations Corporate Solutions in Valencia, Spain. As a member of the COSEC Team, you'll collaborate with colleagues to deliver a broad spectrum of administrative, corporate, compliance, and regulatory services for the German jurisdiction.
Job Specification:
• Ensure all corporate activities comply with relevant (German) legal requirements in corporate law
• Maintain alignment with established market practices
• Provide comprehensive board, committee, and shareholder meeting support
• Observe corporate rules and regulatory requirements - including deadlines - on account of holding and organizing corporate meetings
• Take or review meeting minutes, extract action items, and oversee implementation
• Finalize and process minutes through to signature
• Maintain continuity between successive meetings
• Coordinate follow-up actions with relevant stakeholders
• Prepare and maintain statutory documentation, e.g: articles of association/incorporation, corporate structure in place, records of the Chamber of Commerce
• Prepare, make, or keep track of necessary corporate, regulatory and tax filings, annual financial statements, capital calls and distributions, support audit processes, AML/KYC (anti-money laundering/know-your-customer) or AML/CFT (anti-money laundering/countering the financing of terrorism) processes - in close liason with the dedicated Apex Group KYC team
• Handling of local UBO/transparency register items for clients
• Prepare/review and maintain screening in World-check and Reliant
• Prepare BRC forms and take-over of related internal communication
• Prepare shareholder resolutions
• Support with opening of bank accounts
• Serve as primary point of contact for clients
• Proactively spot governance issues before they arise
• Manage corporate documentation for the incorporation and liquidation of companies
• Perform other various CoSec tasks (arranging files, emails, preparing documents, etc.).
• Establish, improve, and support the implementation of standard documentation, processes.
• Provide accurate and timely information to other stakeholders in accordance with agreed deadlines.
• Assist other colleagues in the day-today work
Skills / experience:
• Degree in Law
• Experience of +2-3 years in corporate or commercial law
• Fluent German and English
• Good attention to detail is required to ensure the accuracy of the documents and correspondence
• Good organizational and time management skills
• Result oriented, detail oriented, team player with ability to work effectively with minimum supervision, in a fast paced, complex and dynamic environment
• Ability to work under pressure and tight timelines, excellent time management and multi-tasking skills
• Ability to follow instructions and procedures
• Relevant experience, preferably gained within the legal, financial or administrative industry
• Minute taking experience, preferably in a corporate, legal or tax environment would be an advantage but is not mandatory
• Strong interpersonal skills, including both verbal and non-verbal communication
• Team Player with excellent collaborative, analytical, problem solving and organisational skills
